HAMBY United Carrier Operating Agreement
HAMBY United agrees to assist the carrier with dispatch support, load search, load communication, and related administrative support based on the information provided by the carrier. HAMBY United acts as a dispatching support service and does not take ownership of the carrier's company, equipment, authority, or business decisions.
- The carrier remains responsible for maintaining active authority, insurance, and compliance.
- The carrier is responsible for accepting or rejecting loads.
- The carrier is responsible for safe and legal operation of all equipment.
- HAMBY United will communicate load options and assist with dispatch-related needs.
Dispatch Fee
8%
Standard dispatch fee on loads booked and dispatched by HAMBY United on the carrier's behalf. An optional additional 2% billing service is available for invoicing support.
The carrier acknowledges and agrees that HAMBY United charges an 8% dispatch service fee on loads booked and dispatched by HAMBY United.
First Load On Us Promotion
The carrier understands the First Load On Us promotion: the first load is free only if the carrier continues with HAMBY United for the next two subsequent loads after this agreement is approved. If the carrier does not continue, the standard dispatch fee applies to the first load.
Non-Solicitation & Protection of Customer Base
Carrier agrees not to directly or indirectly solicit, communicate with, or perform services for any HAMBY United-provided customer during this agreement and for two (2) years after termination, unless approved in writing by HAMBY United. If the carrier works with a HAMBY United-provided customer without approval, the carrier must pay HAMBY United 10% of all revenue earned from that customer, payable within 10 days of each violation.
Limited Power of Attorney
The carrier grants HAMBY United a Limited Power of Attorney for the sole and limited purpose of performing dispatch and administrative tasks, including communicating with brokers and shippers regarding available loads, negotiating and confirming rates the carrier has approved, and receiving and forwarding rate confirmations and load paperwork. This Limited Power of Attorney does not authorize HAMBY United to take ownership of the carrier's authority, equipment, or business, to bind the carrier to any load without approval, or to access the carrier's funds. It is revocable by the carrier at any time in writing.
Arbitration
Any dispute related to this agreement will be resolved through binding arbitration in the State of Alabama.
Electronic Signatures
The carrier consents to the use of electronic records and electronic signatures for this agreement, and agrees that an electronic signature has the same legal effect as a handwritten signature.
